Corporate governance code
Koninklijke Haskoning Groep B.V. (‘Royal Haskoning) shares the Commissie Tabaksblat’s fundamental principle: ‘good governance, by which is understood honest and transparent dealings by the board of management, and good supervision of it, which includes giving account of the supervision exercised, are essential conditions for interested parties to have confidence in the board and the supervision.’
Royal Haskoning subscribes to the importance of the
Dutch Corporate Governance Code (‘the Tabaksblat Code’ or ‘the Code’) and sees this as support in monitoring the integrity of its own business.
The Tabaksblat Code is only valid for stock exchange-quoted companies. Royal Haskoning, however, sees the importance of social discussion about good and sound company management and already implements a significant proportion of the Best Practice Provisions in the Code in its operational management. On 20 April 2005 the Annual General Meeting of Shareholders approved the way in which the Board of Management and the Supervisory Board of Royal Haskoning wished to apply the Code. The Board of Management and the Supervisory Board propose to evaluate the implementation of the Code annually.
